Terms of Service

(a) General & Impersonal Content. Content is provided for educational and informational purposes only and is not tailored to any particular individual's objectives, financial situation, or needs.

(b) No Personalized Advice. You agree not to request or provide individualized advice (including via DMs, comments, or 1:1 messages) through the platform. Publishers must not direct a specific person to take a specific action in a specific security, or solicit personal financial details to tailor recommendations.

(c) No Fiduciary Relationship. Your use of the platform does not create an advisory or fiduciary relationship with Alpha Bazaar or with any Publisher.

(d) User Responsibility. Any decisions you make after consuming Content are solely your own. You should consult a qualified financial professional before investing.

(e) Disclosures. Publishers must include clear disclosures of (i) positions held, (ii) trading intent within 24 hours, and (iii) material conflicts, and must identify (iv) any compensation or other consideration received for discussing an issuer, asset, or strategy.

(a) No Guarantees. Past performance does not guarantee future results; investing involves risk, including loss of principal.

(b) Performance Data. Performance metrics may be delayed or incomplete and can include user-submitted data. Alpha Bazaar uses reasonable measures to detect errors and manipulation but does not warrant accuracy.

(a) Representations. You represent and warrant that your Content is lawful, original to you (or you have rights to post it), accurate to the best of your knowledge, and compliant with all applicable laws.

(b) No MNPI / Insider Info. You must not post or rely on material non‑public information or otherwise violate insider‑trading, tipping, or confidentiality laws/rules.

(c) No Market Abuse. You must not engage in, encourage, or coordinate manipulative or deceptive practices (e.g., pump‑and‑dump, wash trading, spoofing, scalping schemes, or coordinated touting).

(d) Touting / Paid Promotion. If you are paid by an issuer or any third party to mention a security or asset, you must prominently disclose the source and amount/type of compensation in the related post(s). Undisclosed promotion is prohibited.

(e) No Personalized Recommendations. Publishers may not provide individualized investment advice to Subscribers via the platform.

(f) No Harmful Code / Abuse. You may not post malware, attempt to gain unauthorized access, attempt to probe/scan systems, or otherwise disrupt the platform.

[NEW] (g) No Harassment or Abuse. Harassment, threats, hate speech, doxxing, or targeted attacks are prohibited. We may suspend or terminate accounts for such conduct.

[NEW] (h) Account Security. You are responsible for safeguarding your account credentials and restricting access to your devices. Notify us immediately of any unauthorized use.

[NEW] (i) Cooperation. You agree to cooperate with our reasonable requests during investigations of potential violations.

(a) Publisher IP (expressive works). Publishers retain ownership of the expressive elements of their Content (e.g., text, images, commentary) but grant Alpha Bazaar a worldwide, perpetual, irrevocable, non‑exclusive, transferable, sublicensable, royalty‑free license to host, store, display, modify, adapt, translate, create derivative works from, distribute, and otherwise use such Content for operating, improving, marketing, and enforcing the platform, and to create and commercialize aggregate or anonymized datasets, analytics, and derivative works derived from or incorporating the Content. This license survives termination.

(b) Platform Data (owned by Alpha Bazaar). Alpha Bazaar exclusively owns all Platform Data, including without limitation: timestamps, edits and audit logs; metadata; engagement and delivery data; derived performance statistics; leaderboards and rankings; aggregate/anonymized datasets; models and analytics created from or based on Content; and any improvements, derivatives, or compilations thereof.

(c) User License. Subject to these Terms and any paywall, Alpha Bazaar grants you a limited, non‑transferable, non‑sublicensable license to access Content for personal use only.

(d) No Resale/Redistribution. You must not copy, scrape, bulk‑download, resell, mirror, frame, or redistribute Content or performance data without written permission. You also agree not to use any automated means to compile, train, or enhance models or datasets from Content without our written consent.

(e) Takedowns. We may remove or restrict Content that violates these Terms or law and may preserve and disclose it to authorities.

(a) Automated Access Bar. You must not use bots, spiders, crawlers, scrapers, headless browsers, or similar tools to access, query, or copy any part of the site, its Content, performance statistics, or metadata, except via methods expressly authorized in writing by Alpha Bazaar.

(b) No Circumvention. Do not bypass rate limits, paywalls, authentication, robots.txt, or technical protections.

(c) No Competitive Use. Do not access the platform to build, train, or improve a competing service or dataset without our explicit written consent.

(d) Third‑Party Data. Our data/API providers (e.g., market data, news) are third‑party beneficiaries of this Section. Violations may result in immediate suspension, IP blocks, legal action, and injunctive relief.

[NEW] (e) Injunctive Relief & Liquidated Damages. We may seek immediate injunctive relief and, where permitted by law, liquidated damages for willful scraping, circumvention, or bulk extraction of Content or performance data.

[NEW] (f) Provider Enforcement. Our data/API providers may enforce this Section directly against you.

(a) Payments Processor. Subscriptions and payouts are handled by third‑party processors (e.g., Stripe). You agree to their terms, including identity verification (KYC).

(b) Sanctions Compliance. You may not use the platform if you are on any applicable sanctions list or located in a restricted jurisdiction. We may geo‑block or refuse service.

(c) AML Oversight. We may screen accounts, hold or delay payouts, request information, and report suspicious activity to payment processors or competent authorities.

(d) No Laundering. Using the platform to disguise the source, nature, or ownership of funds is prohibited. We may freeze, claw back, or forfeit amounts linked to suspected unlawful activity.

(e) Taxes. Publishers are solely responsible for their own taxes and reporting.

[NEW] (f) Fraud Monitoring; Holds; Clawbacks. We may monitor for payment fraud and abuse. We may place reserves/holds, delay or claw back payouts, offset chargebacks, and suspend monetization while we investigate suspected fraud or chargeback patterns.

(a) Billing. Subscriptions auto‑renew until canceled. You authorize recurring charges.

(b) Platform Fees. Unless otherwise stated, Publishers receive 80% of subscription revenue; Alpha Bazaar retains 20% plus any pass‑through processing fees. A monthly platform fee may apply for monetized publishers.

(c) Refunds. Refunds are governed by our posted refund policy (as updated from time to time). We may deny or reverse access when fraud/abuse is suspected.

[NEW] (d) Fee Changes. We may modify platform or payout fees with at least 30 days' notice. Continued use after the effective date constitutes acceptance.

[NEW] (e) Chargebacks & Disputes. You agree to first contact support@alphabazaar.ai to resolve billing concerns before initiating a chargeback. We may suspend access or payouts related to disputed charges and offset losses from future earnings.

[NEW] (f) Referral Credits ("Monopoly Money"). Alpha Bazaar may issue promotional or referral credits ("Referral Credits") for use on the platform. Referral Credits have no cash value, are non‑transferable, and may be used only for eligible purchases on the platform. Subscriptions purchased in whole or in part with Referral Credits do not generate Publisher payouts for the credited portion; payouts are only calculated on amounts actually paid in cash after processing fees. We may set additional terms, caps, or expiration dates for Referral Credits and may adjust or revoke credits in cases of suspected fraud or abuse.

(a) Arbitration. Any dispute arising from or relating to these Terms will be resolved by binding arbitration in Delaware under AAA rules, on an individual basis.

(b) Class Waiver. You and Alpha Bazaar waive any right to participate in a class or representative action.

(c) Injunctive Relief Carve‑Out. We may seek injunctive relief in court to protect intellectual property, data security, and to stop scraping or unauthorized access.

(d) 30‑Day Opt‑Out. You may opt out of arbitration within 30 days of account creation by emailing legal@alphabazaar.ai.
